Job Description

Major, Lindsey & Africa’s Interim Legal Talent group is seeking a full-time Temp-to-Perm Corporate Paralegal for 6+ months, with a high probability of conversion to an FTE at the end of the engagement.

Overview : Our client is seeking a full-time, in-house Corporate Paralegal who reports directly to the GC.

Company: Client is a single-family office for a confidential client. The confidentiality Agreement must be signed by the candidate before any identifying information (Name, Family, etc.) can be shared with the candidate.

Experience: 3-5+ years of relevant corporate paralegal

Location: Hybrid with flexibility – candidates who live within a commutable distance to the client's Miami Office. This client will not consider fully remote candidates.

Duties and Responsibilities:

  • Create draft agreements from standard templates or duplicate from previous agreements with specific provisional changes.
  • Review contracts, proposals, engagement letters, etc., with external vendors, contractors, and other providers for a variety of services and engagements.
  • Liaise with internal and external counsel or counterparties regarding negotiation, status of agreement, and outstanding issues.
  • Prepare agreements for execution, follow up for signatures, and upload to databases upon completion.
  • Create and maintain a document management system for all executed legal agreements using the office’s research management database.
  • Agreements consist of, but are not limited to, personal agreements, contracts, private investments, and real estate agreements.
  • Ability to understand organizational structure charts.
  • Familiar with corporate documents and able to recognize corporate content.
  • Complete upfront and ongoing KYC/AML requests and other compliance and regulatory matters.
  • Respond to due diligence requests from various internal departments and counterparties.
  • Assist the General Counsel in engaging and managing outside counsel, including setting and monitoring engagements, budgets, billings, evaluating existing relationships, making new legal provider recommendations, and actively managing cost controls and service efficiencies.
  • Review, distribute, and/or handle various correspondence, reports, and charts.

  • Strong technical skills (no coding required), including solid knowledge of common programs and applications, including Microsoft Office Suite (particularly Outlook, Word and Excel).
  • Foundation in problem-solving skills and ability to build reliable work processes to address identified needs, in collaboration with others or at times with minimal outside direction.
  • Demonstrated ability to deliver precise and timely work product.
  • Ability to multi-task on several different assignments/projects; excels under pressure and meets deadlines.
  • Strong communication skills, both written and verbal.
  • Demonstrated high level of initiative, analytical skills, and impeccable integrity.
  • Ability to exercise sound judgment and to maintain confidentiality and discretion as expected in a legal office.
  • Excellent interpersonal skills, confidence, and poise.
  • A self-starter who is both team-oriented and capable of working independently.
  • Experience working in a regulated environment.
  • Experience with legal documents and familiarity with a wide range of legal file types.
  • Ability to work with varying levels of ambiguity; ability to react creatively amid challenging circumstances.
  • Energetic with a passion for excellence.
  • Bachelor’s Degree Required
